These Terms and Conditions, together with any applicable Service Agreement, constitute a legally binding agreement between the Client identified in the Service Agreement and Intuite.AI LLC ("Intuite.AI"), concerning the Client’s access to and use of https://intuite.ai (the "Site"). By accessing the Site or using our services, Client acknowledges and agrees to be bound by these Terms and Conditions. We may revise these Terms and Conditions at any time, at our discretion. Continued use of the Site after updates constitutes acceptance of those changes.
2. CLIENT ACCESS AND CLIENT DATA
Intuite.AI grants the Client a non-exclusive, non-transferable license to access and use the Site and its Services solely for internal business use during the service term. Access credentials are provided by Intuite.AI and are limited to authorized users. Client retains ownership of all data submitted to the Site. However, Client grants Intuite.AI a limited license to use, process, and store Client data solely to deliver the agreed Services. Any machine learning enhancements generated through our Services remain the intellectual property of Intuite.AI.
3. INTELLECTUAL PROPERTY
All content, code, software, and trademarks on the Site remain the property of Intuite.AI. Client agrees not to reproduce, distribute, modify, or reverse engineer any part of the Services or Site, nor remove proprietary notices.
4. CLIENT REPRESENTATIONS
Client represents that: All information provided is accurate and current.Client will comply with these Terms and all applicable laws.Client will not use automated methods (bots/scripts) to access the Site.Client has obtained appropriate consent (e.g., TCPA compliance) from leads contacted via our chatbot Services.
5. CLIENT REGISTRATION
Client is responsible for securing their account credentials. Intuite.AI may reject or reclaim usernames deemed inappropriate.
6. CONFIDENTIALITY
Each party agrees to maintain the confidentiality of sensitive business and technical information disclosed during the term of service. Confidential information excludes that which becomes public or is independently developed. A separate NDA supersedes this clause if applicable.
7. CANCELLATION
Either party may cancel Services with written notice. However, Client remains financially responsible for all qualified leads that were booked on their calendar by Intuite.AI prior to cancellation, regardless of whether the service has been terminated. Qualified leads are defined as appointments successfully scheduled and confirmed through Intuite.AI’s system, as verified by internal logs.
8. PROHIBITED ACTIVITIES

9. WARRANTIES AND DISCLAIMERS
Intuite.AI provides its Services "as is" except where otherwise stated. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
10. SUBMISSIONS
Client feedback, suggestions, or comments become the property of Intuite.AI.
11. PRIVACY POLICY
Our Privacy Policy governs how data is collected and used. By using the Site, you agree to the policy available at https://intuite.ai/privacy. The Site is hosted in the U.S.; by using it, Client consents to U.S.-based data processing. Intuite.AI complies with applicable data protection laws, including the California Consumer Privacy Act (CCPA), the General Data Protection Regulation (GDPR), and the Telephone Consumer Protection Act (TCPA). Clients are solely responsible for ensuring they have obtained appropriate consent from end users prior to engaging our outreach Services.
12. TERMINATION BY INTUITE.AI
We reserve the right to suspend or terminate any account for violations of these Terms or applicable law, with or without notice.
13. MODIFICATIONS AND INTERRUPTIONS
We may modify or discontinue portions of the Site or Services at any time. We are not liable for any downtime or unavailability.
14. GOVERNING LAW
These Terms are governed by Colorado state law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. DISPUTE RESOLUTION
Disputes will first be attempted to be resolved informally. Failing that, disputes will be settled by binding arbitration in Boulder County, Colorado, under the rules of the American Arbitration Association. Exceptions include intellectual property violations or injunctive relief.
16. CORRECTIONS
We reserve the right to correct any errors or inaccuracies on the Site at any time.
17. LIMITATIONS OF LIABILITY
Intuite.AI is not liable for indirect, incidental, or punitive damages. Liability is limited to the amount paid by the Client in the past six (6) months.
18. INDEMNIFICATION
Client agrees to indemnify and hold Intuite.AI harmless from claims arising from misuse of the Site, breach of these Terms, or violation of third-party rights. Intuite.AI agrees to defend claims related to infringement of third-party IP by our software.
19. DATA SECURITY
We implement reasonable technical and administrative safeguards to protect Client data. Data will not be shared or sold unless required by law.
20. DATA BACKUPS
Client is responsible for maintaining their own data backups. Intuite.AI is not liable for any loss or corruption of data.
21. ELECTRONIC COMMUNICATIONS
By using the Site, Client consents to electronic communications and the use of electronic signatures.
22. FORCE MAJEURE
Neither party is liable for delays caused by events beyond their control, including natural disasters, acts of war, or internet outages.
23. MISCELLANEOUS
These Terms and any other agreements referenced represent the full agreement between Client and Intuite.AI. If any provision is deemed unlawful, it will not affect the validity of the remaining provisions.
24. Payments and Refunds
Client agrees to compensate Intuite.AI based on the pricing and terms outlined in the Service Agreement. All fees are non-refundable unless otherwise agreed in writing. Invoices will be issued weekly and are payable within 3 days. Intuite.AI reserves the right to suspend Services for late or failed payments.
